2. Account Requirements

• You must provide a valid email address, your name, and a password of at least 8 characters.
• You must be at least 18 years old to use Chime.
• You are responsible for maintaining the security of your account credentials.
• You must provide accurate and complete information during registration.
• One person or entity may not maintain more than one account.
• You are responsible for all activity that occurs under your account.

3. Acceptable Use

You agree not to:

• Use Chime for any purpose that is unlawful or prohibited by these Terms.
• Attempt to gain unauthorized access to any part of the service or its related systems.
• Use the service to harass, spam, or send unsolicited messages to influencers or any third parties.
• Scrape, reproduce, or redistribute data obtained through Chime beyond your own internal business use.
• Resell, sublicense, or provide access to Chime to third parties without our written consent.
• Interfere with or disrupt the integrity or performance of the service.
• Use automated tools (bots, scripts) to interact with the service unless expressly permitted.

4. Data and Content

The influencer data and content surfaced through Chime is aggregated from publicly available sources. We do not guarantee the accuracy, completeness, or timeliness of this data.

By providing information to Chime (including your business context, customer profiles, and preferences), you grant us a worldwide, royalty-free, perpetual license to use, process, analyze, and incorporate this information for the purpose of operating, improving, and developing our products and services. This includes the right to use aggregated or anonymized data derived from your use of the service for analytics, research, marketing, and the development of new products and services.

5. Intellectual Property

The Chime platform, including its design, source code, algorithms, data models, matching methodologies, databases, content curation systems, and branding, constitutes proprietary intellectual property of Chime AI. All rights are reserved. These Terms do not grant you any right, title, or interest in our intellectual property beyond the limited right to use the service as a subscriber.

You may not reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or data structures of the service. You may not copy, reproduce, or redistribute any data, content, or outputs provided by the service beyond your own internal business use.

Third-party content surfaced through Chime belongs to its respective authors. Chime provides this content for informational purposes. You are responsible for any interactions you initiate based on information from Chime.

6. Service Availability and Changes

We aim to provide a reliable service, but do not guarantee uninterrupted availability. We may modify, suspend, or discontinue any part of the service at any time. We will make reasonable efforts to notify you of significant changes.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Chime AI and its directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of Chime.

Our total liability for any claim arising from or related to these Terms or the service shall not exceed the total fees paid by you to us in the three (3) months immediately preceding the event giving rise to the claim.

8. Indemnification

You agree to indemnify and hold harmless Chime AI from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.

9. Termination

You may delete your account at any time by contacting us. We may suspend or terminate your account if you violate these Terms or if we discontinue the service. Upon termination, your right to use Chime ceases immediately. We may delete your data in accordance with our Privacy Policy.

10. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the service. Your continued use of Chime after the changes take effect constitutes your acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Delaware.
